Terms of Service

API DATA PROCESSING SERVICES

Service Provider: Lekt Software OÜ, a company incorporated and existing under the laws of Estonia ("Provider")

These Terms of Service ("Terms") constitute a binding agreement between Provider and any entity or individual ("Customer") who subscribes to or uses Provider's API data processing services ("Services"). By creating an account, making a payment, or using the Services, Customer agrees to be bound by these Terms.
1. SERVICES AND ACCESS

1.1 Service Description. Provider offers access to its Application Programming Interface platform for data processing operations, including: (a) document intelligence and processing capabilities including optical character recognition and automated document classification; (b) data transformation and optimization services including JSON restructuring and text normalization; (c) content creation and moderation services including text-to-image conversion and automated content filtering; and (d) additional analytical and computational services as may be reasonably necessary to support Customer's data processing and business intelligence requirements.

1.2 Service Delivery. Services are delivered through Provider's cloud-based API platform accessible via secure internet connection. Customer accesses Services through API keys and credentials provided by Provider upon account activation and payment confirmation.

1.3 Service Modifications. Provider may modify, update, or enhance the Services from time to time, provided that such modifications do not materially diminish the core functionality described herein. Provider will provide thirty (30) days' prior notice of any material changes to the Services through the customer dashboard or registered email address.
2. SUBSCRIPTION MODEL AND PAYMENT TERMS

2.1 Prepaid Monthly Access. Services are provided on a prepaid monthly basis. Customer must pay in advance for each month of service access. No refunds are provided for unused service time within a paid month.

2.2 Service Tiers. Provider offers multiple service tiers with different capacity allocations, performance specifications, and pricing. Current service tiers and their specifications are available on Provider's website and customer dashboard.

2.3 Payment Processing. Customer must pay the applicable monthly fee for the specific date range stated on the invoice. Upon successful payment processing, Customer receives access to the subscribed service tier for the calendar month period specified on the invoice, with access commencing on the designated start date. If payment is processed prior to the invoice start date, Customer may receive immediate access as a courtesy benefit, though such early access is provided at the Company's discretion and is not guaranteed.

2.4 Automatic Renewal. Services do not automatically renew. Customer must make a new payment before the current service period expires to continue access. Service access terminates immediately upon expiration of the paid period.
3. SERVICE SPECIFICATIONS

3.1 Service Capacity. Each service tier includes specific allocations for requests per second (RPS), daily request volumes, monthly request allowances, and number of API keys. Detailed specifications for each tier are available in the customer dashboard.

3.2 Performance Standards. Provider maintains average API response times of less than nine hundred (900) milliseconds for standard processing requests and less than thirty (30) seconds for complex document processing requests, measured from Provider's system receipt of complete requests.

3.3 Availability Commitment. Provider commits to maintain Service availability of ninety-nine point nine percent (99.9%) uptime during each calendar month. If this commitment is not met, Customer may be entitled to service credits as detailed in the customer dashboard.

3.4 Overage Handling. If Customer exceeds allocated capacity during a service period, Provider may temporarily throttle requests or charge additional fees as specified in the current pricing schedule.
4. ACCESS AND SECURITY

4.1 Account Security. Customer is responsible for maintaining the confidentiality of account credentials and API keys. Customer must immediately notify Provider of any unauthorized use of their account.

4.2 Data Security. Provider implements appropriate technical and organizational measures to protect Customer data, including encryption of data in transit and at rest, access controls, and regular security assessments.

4.3 Usage Compliance. Customer must use Services in compliance with all applicable laws and regulations and must not use Services for any illegal, harmful, or prohibited purposes.
5. INTELLECTUAL PROPERTY

5.1 Provider IP. Provider retains all right, title, and interest in and to the Services, including all software, technology, processes, and know-how used to provide the Services.

5.2 Customer Data. Customer retains all right, title, and interest in and to the data, content, and materials provided by Customer to Provider for processing ("Customer Data"). Customer grants Provider a limited, non-exclusive license to use Customer Data solely to provide the Services.

5.3 Derivative Works. Provider may create derivative works, aggregated data, and analytics based on Customer Data, provided that such derivative works do not identify Customer or contain Customer's confidential information.
6. DATA PROCESSING AND PRIVACY

6.1 Data Processing Roles. Provider acts as a data processor and Customer acts as the data controller with respect to any personal data processed through the Services.

6.2 Data Retention. Customer data processed through the APIs will be retained for a maximum of thirty (30) days for troubleshooting purposes, then automatically deleted in accordance with Provider's standard data retention policies.

6.3 Data Protection Compliance. Provider processes personal data only as necessary to provide the Services and implements appropriate safeguards for international data transfers as required by applicable data protection laws.
7. LIMITATIONS AND DISCLAIMERS

7.1 Service Warranty. Provider warrants that the Services will perform substantially in accordance with the applicable documentation during the paid service period.

7.2 DISCLAIMER. EXCEPT AS EXPRESSLY SET FORTH HEREIN, PROVIDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

7.3 LIMITATION OF LIABILITY. PROVIDER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO PROVIDER IN THE MONTH PRECEDING THE EVENT GIVING RISE TO LIABILITY. PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS.
8. TERMINATION

8.1 Natural Expiration. Service access automatically terminates at the end of each paid service period unless Customer makes a new payment for continued access.

8.2 Termination for Cause. Provider may immediately suspend or terminate Customer's access if Customer: (a) materially breaches these Terms; (b) uses Services for illegal or prohibited purposes; or (c) fails to pay applicable fees.

8.3 Effect of Termination. Upon termination, Customer's access to the Services ceases immediately. Provider will provide Customer with reasonable assistance in retrieving Customer's data for thirty (30) days following termination.
9. GENERAL PROVISIONS

9.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to conflict of law principles.

9.2 Dispute Resolution. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia.

9.3 Entire Agreement. These Terms constitute the entire agreement between the Parties regarding the subject matter hereof and supersede all prior agreements and understandings.

9.4 Amendment. Provider may modify these Terms at any time by posting revised Terms on its website. Modifications become effective thirty (30) days after posting. Customer's continued use of Services after such modifications constitutes acceptance of the revised Terms.

9.5 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9.6 Force Majeure. Neither Party shall be liable for any delay or failure to perform due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor strikes, or government actions.

9.7 Notices. All notices under these Terms shall be provided through the customer dashboard or via email to the address associated with Customer's account.

By using the Services, Customer acknowledges that they have read, understood, and agree to be bound by these Terms of Service.
